Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the https://0x0.art website (the "Service") operated by MB Holografija ("us", "we", or "our"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, buyers, and sellers who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Account Registration

To utilize certain features of the Service, you will be required to log in using a compatible web3 wallet, such as a hard card wallet or MetaMask. During the login process, you will be asked to sign a message for verification. No additional passwords are needed for account creation. However, you are still responsible for maintaining the confidentiality of your wallet and ensuring the security of your account. You agree to provide accurate and complete information for any data required by the Service. Any unauthorized use of your account or breach of security should be reported to us immediately.

2. Use of Service

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service, subject to these Terms. You agree not to use the Service for any illegal or unauthorized purpose, or to engage in any activity that would violate any applicable law or regulation.

3. Minting and Ownership of NFTs

When you mint a new Non-Fungible Token (NFT) from an image or artwork on our Service, you are granting a license to the owner of the NFT for the use of that image or artwork. By minting an NFT, you represent and warrant that you are the sole owner of the image or artwork or that you have obtained all necessary rights and permissions to grant such a license.
Ownership of the NFT can change if the NFT is sold or otherwise transferred. When ownership changes, all rights and privileges associated with the NFT, including the license to the image or artwork, are transferred to the new owner. As the original minter of the NFT, you agree to cease any use of the image or artwork that would infringe on the rights of the NFT owner. Please note, 0x0.art does not monitor or mediate disputes related to the ownership of NFTs or the rights granted by them. If you have any questions or concerns about your rights as an NFT owner or minter, please consult with a legal advisor.

4. Listing and Selling NFT Artworks

Sellers may list their NFT artworks on the Service by connecting their blockchain wallets. Listings must accurately describe the NFT artwork and include relevant information, such as title, artist, and edition.
Sellers are responsible for the accuracy of the information provided in their listings and for ensuring that their NFT artworks do not violate any copyright, trademark, or other intellectual property rights.
Buyers may purchase NFT artworks listed on the Service using either cryptocurrency or a credit card. All sales are final, and no refunds will be provided, except in cases of misrepresentation.

5. Royalties and Change of Ownership

Upon minting an NFT, the right to any royalties generated by it are transferred to the owner of the NFT. This means that all future royalties from the NFT will be paid to the wallet of the current owner.
When the ownership of an NFT changes, the right to receive royalties is also transferred to the new owner. For instance, if the NFT is sold or transferred in any manner, the right to receive future royalties from that NFT will be granted to the wallet of the new owner. This system ensures that the monetary benefits from the NFT continue to be enjoyed by its current owner, thus maintaining the value and exclusivity of owning the NFT. As a user of our Service, you acknowledge and agree to this method of handling royalties.

6. Commissions and Payments

Sellers receive commissions from the sale of physical prints of their listed NFT artworks, as determined by the formula: [Sale Price] - [2% Platform Fee] - [1% Pool Contribution] - [$87 Fixed Cost for Print, Shipping, and Certificate]. For instance, if a seller lists 10 copies of an artwork for $250 each, the payout per sale would be calculated as follows: $250 - 2% - 1% - $87 = $155.50. Therefore, for all 10 prints, the total commission to the seller would amount to $1555. Please note that the buyer is responsible for any applicable taxes, fees, or charges related to their purchase of NFT artworks, including any conversion fees for cryptocurrency transactions.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of MB Holografija and its licensors. The Service is protected by copyright, trademark, and other laws of both Lithuania and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of MB Holografija.

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by MB Holografija. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

10. Limitation of Liability

In no event shall MB Holografija, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
MB Holografija, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

12. Indemnification

You agree to defend, indemnify and hold harmless MB Holografija and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the Service.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Lithuania, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
